Applicable to the subscription to the PropulsionBot software (MetaTrader 4 Expert Advisor) marketed on propulsionbot.com.
These Terms & Conditions (hereinafter the « Terms ») govern the sale, by Z., with a share capital of €100,000 (hereinafter the « Publisher »), of a subscription giving access to the PropulsionBot software, an Expert Advisor (EA) for the MetaTrader 4 platform (hereinafter the « Service »), to any individual or legal entity subscribing via the propulsionbot.com website (hereinafter the « Customer »).
Any subscription to the Service implies unreserved acceptance of these Terms, available at any time on the site and binding on the Customer as soon as their order is confirmed. The Publisher reserves the right to amend these Terms under the conditions described in Article 15.
The Service is not available to U.S. persons or French persons. For the purposes of this clause, a "U.S. person" means any citizen or national of the United States of America, any person resident in the United States, and any entity organized under U.S. law; a "French person" means any French citizen or national and any person resident in France. By subscribing to the Service, the Customer represents and warrants that they do not fall within either category. The Publisher reserves the right to suspend or terminate, without notice or refund, any subscription found to breach this restriction.
PropulsionBot is a configurable software for automated analysis and order execution on the MetaTrader 4 platform, operating on defined stock indices and currency pairs (SP500, NQ100, DAX40, CAC40, EuroStoxx50, EURUSD), according to a proprietary technical analysis method. The Customer configures all execution parameters (position size, risk caps, filters, asset presets) before any activation on their Trading account.
The Service is neither a financial product nor an advisory service: it is a software tool assisting order execution, all of whose settings are determined by the Customer. It does not constitute, under any circumstances:
The Customer remains, at all times and under all circumstances, solely responsible for their choices: activating the Service on their Trading account, the configuration applied, and any resulting trading decision are exclusively their responsibility (see also Article 8).
The Publisher offers a thirty (30) day free trial, with no obligation to provide a payment method at sign-up. At the end of the trial period, access to the Service is suspended until subscription to a paid plan; no charge is made without an explicit action by the Customer to subscribe to such a plan.
The Publisher reserves the right to limit the free trial to one per person, household, payment method, or Trading account, and to refuse or suspend any trial in case of suspected abuse (including creation of multiple accounts).
The Service is offered as a monthly subscription with no minimum commitment, across eight Tiers whose prices are displayed on the site at the time of subscription. The applicable Tier is determined by the Customer based on the capital of their Trading account; the Publisher reserves the right to verify consistency between the subscribed Tier and the actual capital of the Trading account, and to adjust the License accordingly (see Article 6).
Payments are processed through the third-party payment provider Stripe. The Publisher never has access to the Customer's full banking details. Unless stated otherwise, prices are shown inclusive of all taxes, in euros.
The subscription automatically renews each month on the same anniversary date, until cancelled by the Customer. The Customer may cancel at any time from their customer portal (Stripe billing portal), effective at the end of the already-paid period — no pro-rata refund is made for the current period, except where mandatory law provides otherwise.
The Customer may change Tier at any time from their customer portal; the change is automatically prorated by Stripe on the next invoice.
Subscribing to the Service grants the Customer a personal, non-exclusive, non-assignable, and non-transferable license, valid for a single Trading account, evidenced by a software license key associated with that Trading account.
The Customer undertakes not to, directly or indirectly:
The Publisher implements reasonable technical measures to verify the License (associating the key with the trading account number, detecting another active automated program on the same account). The Customer acknowledges that these measures constitute reasonable technical protection and not an absolute guarantee against any unauthorized use.
Any breach of the obligations in this article entitles the Publisher to suspend or terminate the License without notice or refund, without prejudice to any action for damages.
Trading leveraged financial products carries a high risk of capital loss, up to the total loss of the sums committed. Past performance, whether real, simulated, or theoretical, is not indicative of future performance.
The Publisher does not provide, publish, or guarantee any figures on performance, gains, or success rate, whether on the site, in its documentation, or in any commercial communication. Any illustrative mention of how the Service operates does not constitute a promise of results.
The Customer expressly acknowledges and accepts that:
— they use the Service with full knowledge of the risks inherent in trading leveraged derivative products;
— they are solely responsible for assessing their own risk profile, choosing their broker, configuring the Service, and any resulting trading decision;
— no guarantee of gain, minimum performance, or absence of loss is owed by the Publisher, in any way whatsoever.
The Customer is solely responsible for:
The Customer undertakes to use the Service in accordance with its documentation and these Terms, and not to commit capital they could not afford to lose.
The Service is provided "as is". To the extent permitted by applicable law, the Publisher does not warrant that the Service will be error-free, uninterrupted, or suited to any particular use by the Customer.
To the fullest extent permitted by law, the Publisher's liability shall not be engaged for:
Where the Publisher's liability is nonetheless found to apply, it is, to the extent permitted by applicable law, limited to the total amount actually paid by the Customer for the Service during the twelve (12) months preceding the event giving rise to liability.
Note: some of the limitations above may be unenforceable against a consumer under applicable law (notably in the event of gross negligence or willful misconduct by the Publisher, or breach of an essential obligation); these clauses apply to the extent permitted by law.
The PropulsionBot software, its documentation, its source and object code, its presets, as well as all elements of the propulsionbot.com website (text, visuals, trademarks, logos) remain the exclusive property of the Publisher or its licensors. Subscribing to the Service grants the Customer no ownership right, but only the right of use described in Article 6.
Personal data collected (email address, account information, billing data) is processed by the Publisher for the purposes of managing the Service, billing, and customer support, as well as, where applicable, for advertising audience measurement purposes. This data is shared with technical subcontractors (hosting, payment, email delivery) only to the extent necessary for the performance of the Service.
In accordance with the General Data Protection Regulation (GDPR), the Customer has the right to access, rectify, erase, and port their data. Details of the processing carried out are described in our Privacy Policy, and these rights may be exercised by contacting the Publisher using the details in the Legal Notice.
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not supplied on a physical medium, the performance of which has begun after the consumer's prior express agreement, who has acknowledged losing their right of withdrawal.
By subscribing to a paid Tier and confirming their order, the Customer expressly acknowledges and accepts that performance of the Service begins immediately (delivery of the license key), and accordingly waives their right of withdrawal as soon as it is delivered.
This provision does not apply to the free trial, which involves no payment.
The Publisher may suspend or terminate access to the Service, without notice or compensation, in the event of:
The Customer may cancel their subscription at any time from their customer portal, effective at the end of the already-billed period.
The Publisher shall not be held liable for any delay or non-performance resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code and the case law of French courts, including in particular outages or unavailability of hosting infrastructure, brokers, or the MetaTrader platform, beyond its reasonable control.
The Publisher reserves the right to amend these Terms at any time. The applicable Terms are those in force on the date of subscription or renewal. In the event of a substantial change, the Customer will be notified by email before their next renewal and may cancel their subscription if they do not accept the new terms.
Should any clause of these Terms be declared null or unenforceable, the remaining clauses shall remain fully in force.
These Terms are governed by French law. In the event of a dispute, and absent an amicable resolution, the competent courts shall be those determined under applicable common-law rules, without prejudice to mandatory consumer-protection provisions that may designate a different jurisdiction.
